Technology Services Terms and Conditions

Terms of Service Agreement

1. License; Grant of Access.

1.1 Grant of Access.  Subject to the terms and conditions of this Technology Services Terms and Conditions (“Technology T&Cs”), Teragonia hereby grants to Customer and its Authorized Users a limited, non-exclusive, non-transferable (except as specified herein), and non-sublicensable license to access and use the Technology Services solely for Customer’s internal business purposes during the Initial Term or any Renewal Term, as applicable.  Except for tools embedded within The Technology Services designed and intended for use by non-users, these Technology T&Cs do not permit access by persons who are not Authorized Users, or access to the Technology Services other than for Customer’s benefit.  Customer understands and acknowledges the Technology Services may be hosted by Teragonia’s trusted third-party hosting service provider(s) and are made accessible by Teragonia to Customer via Internet connections pursuant to the terms and conditions of these Technology T&Cs.  The Technology Services may be used by Customer up to the number of Authorized Users, if applicable, as specified in these Technology T&Cs or a relevant Exhibit.  All rights not specifically granted to Customer hereunder are reserved by Teragonia.  Nothing herein will prevent Teragonia or its licensors, if any, from promoting, providing, licensing, or sublicensing the Technology Services or providing any services to other parties.

1.2 Documentation.  Subject to the terms and conditions of these Technology T&Cs, Teragonia grants to Customer a limited, non-exclusive, non-transferable (except as specified herein), and non-sublicensable right and license to use and make copies of the Documentation for internal use, archival purposes, and for training and education of Customer’s Authorized Users, provided that all proprietary notices of Teragonia and its licensors, if any, are reproduced.

1.3 Limitations.  Notwithstanding anything to the contrary in Sections 1.1 and 1.2, Customer will not, and is not permitted to, modify, decompile, reverse compile, disassemble, reverse engineer, decrypt, or otherwise seek to recreate the source code of the Technology Services or any Services, adapt the Technology Services or the Services in any way, use the Technology Services or the Services to create a derivative work, or grant any other person or entity the right or access to do so, without the advance written consent of Teragonia.  Except as expressly authorized by these Technology T&Cs, Customer will not modify, copy, duplicate, reproduce, unbundle, sublicense, hypothecate, sell, assign, transfer, display, distribute, lend, rent, or lease the Technology Services or the Services or any portion thereof to any third party. All proprietary and/or other notices of Teragonia or its licensors, if any, will be provided and maintained on the Technology Services and the Services at all times.

2. Ownership; Restrictions.

2.1 Ownership of the Technology Services.  Access to the Technology Services and the Services is licensed and not sold.  Customer will not, by virtue of these Technology T&Cs or otherwise, acquire any rights whatsoever in the Technology Services or the Services aside from the limited licenses granted herein, and Customer hereby expressly disclaims any other rights therein.  Teragonia will have and retain all right, title, and interest in and to the Technology Services, the Services, and all Intellectual Property comprising the Technology Services and/or the Services, as well as any modifications or enhancements made thereto, with the sole exception of any Customer Data or Confidential Information provided by Customer will at all times belong to Customer.  Customer hereby irrevocably assigns to Teragonia ownership of any and all suggestions, modifications, enhancements, improvements, alterations, changes, or revisions to the Technology Services or the Services made or suggested by Customer or its Authorized Users.  Customer acknowledges that Teragonia has expended a significant amount of time and energy in the creation of the Technology Services and the Services, and will take no actions that may detrimentally affect the Technology Services or the Services.

2.2 Restrictions on Commercialization or Misuse.  Unless otherwise agreed to in these Technology T&Cs, the MSA, or the relevant SOW, Customer agrees it will not: (a) sell or lease any or all of the Technology Services or the Services; (b) provide, transmit, disclose, divulge, or make available to, or permit use of the Technology Services or the Services by, any third party or entity or machine; (c) use the Technology Services or the Services in a service bureau, out-sourcing or other arrangement to process or administer data on behalf of any third party; (d) install, provide as a service, bundle, disclose, copy, use, or make the Technology Services or the Services available for use, or otherwise utilize any or all of the Technology Services or the Services in any manner that is not explicitly authorized in the Agreement; (e) intentionally publish, post, upload, or otherwise transmit any data that contains any viruses, Trojan horses, worms, time bombs, corrupted files or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any systems, data, personal information, or property of another; (f) use or knowingly permit the use of any security testing tools in order to prove, scan, or attempt to penetrate or ascertain the security of the Technology Services or the Services without Teragonia’s prior written consent; or (g) use or launch, or knowingly permit the use or launch of, any automated system, including, without limitation, “robots,” “spiders,” or “offline readers,” that access the Technology Services or the Services in a manner that sends more request messages to the Technology Services or the in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser.

3. Customer Obligations

3.1 Customer Equipment.  Customer will be responsible for acquiring, installing and maintaining its own technology environment and equipment necessary to properly access, operate and utilize the Technology Services and the Services, including, without limitation: servers, Internet access, LANs and WANs; for any communications or other costs incurred in operating, accessing and using the Technology Services and the Services; and for any other expenses relating to the foregoing.  Customer will be responsible for selecting and training adequate personnel with the requisite experience necessary to operate Customer systems and who are familiar with Customer’s records associated with the Technology Services and the Services.

3.2 Suitability.  Customer will be responsible for determining the suitability of the Technology Services and the Services for its operations and whether the Technology Services and the Services will achieve the results Customer desires.  The Technology Services and the Services are provided as a tool for Customer to use as Customer sees fit in its business.  As with manually kept records, records kept using the Technology Services or the Services may contain errors, whether resulting from incorrect input or recording of information, technological errors, or other causes. Customer is responsible for understanding the limitations of the Technology Services and the Services.  Customer will be responsible for ensuring the accuracy of any Customer Data input into the Technology Services or the Services, ensuring and confirming the accuracy of any output and results created by the Technology Services or the Services prior to use or dissemination, and undertaking procedures to test, identify and correct any errors or omissions relating to Customer Data.

3.3 Acceptable Use. Customer assumes responsibility for ensuring that the Technology Services and the Services are used only by Authorized Users, and that Authorized Users do not make unauthorized use of the Technology Services or the Services.  Unauthorized use includes, without limitation: (a) attempts to gain access to Personal Data other than for legitimate business purposes; (b) attempts to gain access to Customer Data beyond the permissions or authority granted by Customer’s Administrator; (c) attempts to gain access to the data of any other Teragonia customer; and (d) any use of the Technology Services or the Services, or the information contained therein, in violation of any applicable law or regulation.

4. Updates; Obsolescence.

4.1 Updates and Upgrades. During the Term of this Agreement, Teragonia will provide any applicable Update(s) and Upgrade(s) to the Technology Services or the Services to Customer at no cost to Customer.

4.2 New Releases. Teragonia may, but will be under no obligation to, provide Customer with access to New Releases of the Technology Services, the Services, or other Teragonia products. Customer acknowledges and agrees that New Releases may carry additional costs and Fees not included in these Technology T&Cs, the MSA, or any applicable Exhibit. Customer’s ability to access or use New Releases may require execution of a new Order Form and may include the payment of additional Fees associated with the New Release.

4.3 Obsolescence. Teragonia may phase out, sunset, retire, or otherwise render obsolete: (a) a prior version of the Technology Services or a Service on at least six months’ prior notice following the general availability of an Update or Upgrade; and (b) any Technology Service as a whole on at least six months’ prior notice. Teragonia will have no obligation to provide or support obsolete versions of the Technology Services or any Services or versions of Services at the end of such notice periods. In the case of a version obsolescence described in subpart (a), the term of the affected Technology Service will continue unless, where the new version is subject to additional charges, Customer terminates the Service by providing Teragonia with 30 days’ notice after the date of Teragonia’s notice to Customer. In the case of Service obsolescence described in subpart (b), the Service will terminate after the notice period.

5. Termination.

Termination. In addition to the termination rights outlined in the MSA, Customer may terminate the MSA or the applicable SOW for Technology Services at any time for any reason, provided however that termination pursuant to this Section 5 will require Customer to pay Teragonia a fee for exercise of the rights hereunder (“Early Termination Fee”). The Early Termination Fee due and payable by Customer to Teragonia will be calculated as follows: (a) if termination occurs in months 1-6 of the then-current Term, 80% of the Fees paid or payable for the then-remaining Term specified in the applicable SOW or Exhibit; (b) if termination occurs in months 7-12 of the then-current Term, 70% of the Fees paid or payable for the then-remaining Term specified in the applicable SOW or Exhibit; (c) if termination occurs in months 13-18 of the then-current Term, 60% of the Fees paid or payable for the then-remaining Term specified in the applicable SOW or Exhibit; (d) occurs in months 19-24 of the then-current Term, 50% of the Fees paid or payable for the then-remaining Term specified in the applicable SOW or Exhibit; (e) if termination occurs in months 25-30 of the then-current Term, 33% of the Fees paid or payable for the then-remaining Term specified in the applicable SOW or Exhibit; and (f) if termination occurs in or after month 31 of the then-current Term, 25% of the Fees paid or payable for the then-remaining Term specified in the applicable SOW or Exhibit. Early Termination fees will not be cumulative, but will be calculated once based on the time of Customer’s election to terminate the Agreement for convenience based on the remaining Fees due pursuant to the applicable SOW or Exhibit.

Third-Party Provider Terms and Conditions

1. Acquisition of Third-Party Products and Services. Teragonia may offer Third-Party Applications for sale as part of the Services. For any Third-Party Applications that Teragonia provides, Teragonia will pass-through to Customer any and all third-party warranties and indemnities provided to Teragonia and incorporate any such terms in the applicable Statement of Work. Any other acquisition by Customer of third-party products or services, including but not limited to Third-Party Applications and implementation, customization and other consulting services, and any exchange of data between Customer and any third-party provider, is solely between Customer and the applicable third-party provider. Teragonia does not warrant or support third-party products or services, whether or not they are designated by Teragonia as “certified” or otherwise, except as specified in a Statement of Work. No purchase of third-party products or services is required to use the Services.

2. Third-Party Applications and Customer Data. If Customer installs or enables Third-Party Applications for use with the Services, Customer acknowledges that Teragonia may allow providers of those Third-Party Applications to access Customer Data as required for the interoperation of such Third-Party Applications with the Services. Teragonia will not be responsible for any disclosure, modification or deletion of Customer Data resulting from any such access by Third-Party Application providers. The Services will allow Customer to restrict such access by restricting Customer’s users from installing or enabling such Third-Party Applications for use with the Services.

3. Integration with Third-Party Applications. The Services may contain features that interoperate with Third-Party Applications. To use such features, Customer may be required to obtain access to Third-Party Applications from their providers, and may be required to grant Teragonia access to Customer account(s) on the Third-Party Applications. If a Third-Party Application provider ceases to make the Third-Party Application available for interoperation with the corresponding Service features on reasonable terms, Teragonia may cease providing such Service features and Teragonia will refund to Customer any fees Customer pre-paid for the corresponding Services on a pro-rata basis.

4. Transmission of Customer Data. The Services do not transmit Customer Data outside the Services, however should Customer transmit Customer Data to any other service, or add on Third-Party Applications that transmit Customer Data outside the Services, whether or not Customer uses the Services to do this, Customer does so at its own risk and Customer acknowledges that Customer is responsible for the security and validity of such data.

5. Disclaimer. TERAGONIA MAKES NO WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED WITH REGARD TO THE THIRD-PARTY APPLICATIONS NOT PROVIDED BY US. EXCEPT AS SET FORTH HEREIN, TERAGONIA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE/NON-INFRINGEMENT, QUALITY OF INFORMATION, AND FITNESS FOR A PARTICULAR PURPOSE WITH REGARD TO THE THIRD-PARTY APPLICATIONS. CUSTOMER SHOULD CONSULT THE RESPECTIVE THIRD-PARTY PROVIDERS OF THE THIRD-PARTY APPLICATIONS FOR WARRANTY AND PERFORMANCE INFORMATION. TERAGONIA IS NOT RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF CUSTOMER’S USE OF OR DEALINGS WITH ANY THIRD-PARTY APPLICATIONS, WHETHER RELATED TO OR INDEPENDENT OF THE SERVICES, AND CUSTOMER ACKNOWLEDGES THAT SUCH USE OR DEALINGS WITH ANY THIRD PARTY-APPLICATIONS IS AT CUSTOMER’S OWN RISK

Seasoned DevOps and infrastructure engineer with expertise in AWS, Kubernetes, and Terraform; led cloud migrations and scalable infrastructure projects at Sfara, FanDuel, and Kickstarter.

With over 15 years of experience in small and medium-sized startups, Scott is a seasoned expert in designing, optimizing, and maintaining robust, scalable, and secure infrastructure. He specializes in automation and embedding security from the ground up, consistently delivering reliable systems tailored to meet dynamic business requirements.

Prior to joining Teragonia, Scott made a significant impact at Sfara, where he built the company’s entire infrastructure from scratch. He engineered systems capable of supporting hundreds of thousands of users with seamless scalability, implemented automated development pipelines, and introduced observability tools to monitor and manage resources effectively. Additionally, Scott led the infrastructure team in achieving ISO27001 security certification, ensuring security was integrated into every aspect of the system and transforming it into a critical asset for business-to-business operations.

Beyond his technical expertise, Scott has a proven track record of managing and mentoring high-performing teams. As a Senior DevOps Engineer at FanDuel, he gained invaluable experience in scaling infrastructure and optimizing resources to support millions of daily users, aligning technological capabilities with organizational goals.

Jack Amedio

Jack is a highly driven, cross functional professional with extensive experience in operations and administration. 

Prior to joining Teragonia, Jack held financial and facilities management roles for Houlihan Lokey, MSL Group/Publicis, and Golin Harris in which managed and created processes and trainings for multiple functional areas ensuring operational and administrative procedures were well planned, efficient, cost-effective, and aligned with business objectives while ensuring initiatives, internal events as well as client events propelled employee and client engagement.

Jack holds undergraduate degrees from University of Illinois and Loyola University Chicago and has completed graduate certificates in Business Administration, Strategic Human Resources, and Operations at Cornell, CUNY-Buffalo, and University of Illinois and is in the process of completing a Master’s in Human Resources at Loyola University Chicago’s Quinlan School of Business.

Mason is an Analytics Engineer with deep experience in data analytics, business intelligence, machine learning, and cybersecurity. He brings a proven track record of leading analytics engagements spanning architecture, insights, visualizations, and delivery.

Before joining Teragonia, Mason was a Senior Analytics Engineer at Cybersecurity MSSP CYDERES where he built a scalable, standardized, and secure analytics architecture for over 300 clients across many industries and consulted with them to deliver insights through bespoke data driven solutions. In addition, he managed the data delivery of the insight platform leveraged by the Security Operations Center to respond to incidents in a timely and effective manner.

Prior to joining CYDERES, Mason worked in ConocoPhillips’ Analytics and Innovation Center of Excellence holding varied roles within the Data Analytics organization from Data Engineering, to Business Intelligence, and Data Science. He delivered robust data solutions in all operating units for various functions including Engineering and Production, Finance, IT, and more. Including projects to standardize cost and production data across operating units. 

Mason started his career at The Williams Companies in cybersecurity and transitioned to cybersecurity at ConocoPhillips where he found his passion for Data Analytics through SIEM management, detection engineering, and threat intelligence.

Grace Sun

Bachelor’s in Finance & Accounting | Georgetown University

Former analytics engineer at Houlihan Lokey and financial analytics at JP Morgan Chase with a Bachelor’s in Finance & Accounting at Georgetown University

Grace is a seasoned analytics engineer with specialized expertise in crafting and implementing analytics solutions that drive agile, informed executive decisions in M&A and value creation for private equity-backed companies.

Before joining Teragonia, Grace was a part of the data science and business analytics team at Houlihan Lokey. She has excelled in harmonizing, enriching, and analyzing data from diverse sources, providing key insights that enabled private equity investors and portfolio company executives to make rapid, data-driven decisions across the investment lifecycle. She has developed novel analytics solutions, including deal sourcing and evaluation tools for platform investments that employ a buy-and-build or de novo growth strategy, as well as post-close value creation and KPI reporting tools for operators and management teams.

Grace has also worked at JPMorgan Chase & Co. in the Global Finance and Business Management rotational program, where she built analytics solutions to evaluate banker attrition and KPI reporting within the Global Private Bank.
